1. Acceptance of Terms

By accessing or using FraserExam (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

FraserExam provides online exam preparation materials, including practice questions, study notes, flashcards, mind maps, and related educational content for securities licensing exam candidates. The Service is delivered through our web platform and is accessible on desktop, tablet, and mobile devices.

3. Disclaimer of Affiliation

FraserExam is an independent, third-party exam preparation provider. We are not affiliated with, endorsed by, or connected to FINRA, NASAA, the SEC, or any official examination body or regulatory authority. All examination names, trademarks, and references to regulatory bodies belong to their respective owners and are used solely for identification purposes.

4. User Accounts

1. You must provide accurate, current, and complete information during the registration process.
2. You are responsible for safeguarding your account credentials and for all activities that occur under your account.
3. Account sharing is strictly prohibited. Each account is for single-user use only. We monitor for simultaneous logins from multiple IP addresses.
4. You must notify us immediately of any unauthorized use of your account.
5. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payment and Refund Policy

1. All prices are quoted in United States Dollars (USD) and are subject to change without prior notice.
2. Payment is processed securely through Stripe, Inc. We do not store your full credit card information on our servers.
3. Access to premium content begins immediately upon successful payment.
4. We offer an Unconditional One-Year Pass Guarantee: if a candidate does not pass their licensing exam within the access period after completing at least 80% of our question bank, we will extend access at no additional charge until the candidate passes.
5. Given the immediate-access digital nature of our products, purchases are considered final once premium content has been delivered. We are unable to issue refunds after access has been granted. Exceptions may be considered on a case-by-case basis at our sole discretion for documented technical issues that prevented access.

6. Content Originality and Copyright

1. All content on FraserExam — including practice questions, explanations, study notes, flashcards, mind maps, images, logos, and software — is originally authored and produced by the FraserExam team.
2. Our content is created independently and does not reproduce, copy, or derive from any copyrighted examination materials, proprietary question banks, or official study guides published by any regulatory body or examination authority.
3. FraserExam respects intellectual property rights. If you believe any content on our platform infringes your copyright, please contact us at support@fraserexam.com with details so we can investigate promptly.
4. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from the Service without prior written consent.
5. Screenshots, screen recordings, or copies of our content for distribution or commercial use are strictly prohibited.

7. User Conduct

1. You agree not to use the Service for any unlawful purpose.
2. You agree not to attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service.
3. You agree not to use any automated system, including bots, crawlers, or scrapers, to access the Service.
4. You agree not to share, distribute, or sell access to your account or any content from the Service.
5. You agree not to interfere with or disrupt the Service or servers or networks connected to the Service.
6. You agree not to impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.

8. Limitation of Liability

1. The Service is provided on an "as is" and "as available" basis. FraserExam makes no warranties, expressed or implied, regarding the Service.
2. FraserExam shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service.
3. Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to us in the preceding 12 months.

9. Disclaimer of Warranties

While we strive to provide accurate and up-to-date exam preparation materials, FraserExam does not guarantee that you will pass any examination. Exam success depends on many factors including your individual study habits, prior knowledge, and examination conditions.

10. Indemnification

You agree to indemnify, defend, and hold harmless FraserExam, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the Service or your violation of these Terms.

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of global, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of global.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
